Solvvero Digital Marketplace • Version 3.0 • Last updated: October 17, 2026

1. Introduction

Welcome to Solvvero (the “Platform”), a digital marketplace where users can discover, purchase, list, and sell digital products. These Terms of Service (“Terms”) govern your access to and use of the Platform, including its websites, services, seller tools, checkout, and digital delivery features. By creating an account, listing a product, making a purchase, or otherwise using the Platform, you agree to these Terms. If you do not agree, do not use the Platform. Additional policies or terms presented for a particular feature or transaction may also apply. “Solvvero,” “we,” “us,” and “our” refer to the operator of the Platform. Before launch, Solvvero should identify its full legal business name, registered address, and contact details in this document or a linked legal notice.

2. Registration

You must provide accurate, current information, keep your login credentials secure, and promptly update material changes. You must be legally capable of entering a binding contract and meet the minimum age required by applicable law. You are responsible for activity under your account unless applicable law provides otherwise. Do not impersonate another person, create accounts through deception, evade restrictions, or provide false identity, tax, banking, or payout information. We may request identity, business, tax, or payment verification where reasonably necessary for fraud prevention, compliance, or platform security.

3. Seller Policy

Sellers are responsible for the legality, quality, accuracy, safety, description, pricing, licensing, delivery, and support of every product they list. You must own the necessary rights or hold valid permissions and licences to sell and distribute all content, software, images, fonts, templates, datasets, AI-generated material, and other assets included in a product. Do not make misleading claims, infringe intellectual property, misuse personal data, or list content you are not authorised to sell. You must accurately disclose material limitations, required tools, compatibility, licence terms, and whether a product includes third-party assets. Sellers are responsible for complying with applicable consumer, tax, export, sanctions, privacy, and other laws relevant to their products and sales. Solvvero does not become the author or owner of seller products merely by hosting or listing them.

4. Commission & Fees

Seller share: 95% | Solvvero platform commission: 5% For each completed sale, the seller is allocated 95% of the product sale price and Solvvero retains a 5% platform commission, calculated on the product sale price before any separately disclosed payment-processing, bank, currency-conversion, tax, refund, chargeback, or payout adjustments. The calculation basis and any applicable taxes or additional charges must be shown where required by law before the transaction is completed.

Example for a $100 product sale: the seller share is $95.00 and Solvvero's platform commission is $5.00, before any applicable payment-processing costs, taxes, refunds, chargebacks, currency conversion, or payout charges described below.

Product sale price$100.00
Seller share (95%)$95.00
Solvvero platform commission (5%)$5.00
Potential payment, bank, FX, tax, refund or chargeback adjustmentsMay apply

The example is illustrative only. The final amount credited or paid to a seller may differ because of disclosed third-party fees, applicable taxes, currency conversion, refunds, chargebacks, reserves, or legal requirements.

Third-party payment and payout costs Payment processors, banks, card networks, and payout providers may impose fees or conversion costs. Where permitted by law and disclosed before the relevant transaction or payout, these costs may be allocated to or deducted from the seller's proceeds. Solvvero will not describe a third-party charge as Solvvero's commission. The amount actually received may differ from the seller's balance because of provider fees, exchange rates, intermediary-bank charges, or local taxes.

Solvvero may change its fees prospectively by giving notice through the Platform or another reasonable channel. Any change will apply from its stated effective date and will not retroactively change the agreed commission for a completed transaction, except where correction is required by law or to remedy an error or fraud. Continued use after a notified change takes effect constitutes acceptance where legally permitted. If you do not agree, stop listing products or using the affected service before the effective date.

5. Payouts

Seller proceeds become eligible for payout only after the relevant transaction is confirmed and any applicable settlement, fraud review, refund, chargeback, compliance, or provider hold has been resolved. Payout availability and timing may depend on the payment provider, seller verification, country, banking system, weekends, public holidays, risk checks, and legal requirements. Any stated processing estimate is not a guarantee of arrival by a particular date.

Sellers must provide accurate bank and payout details and are responsible for losses caused by incorrect details they supplied, subject to applicable law. Solvvero may delay, reject, reverse, or hold a payout where reasonably necessary to investigate suspected fraud, comply with law, address a chargeback or refund, enforce these Terms, or protect users or the Platform. We will seek to communicate material payout issues where legally and reasonably possible. Funds will not be withheld longer than reasonably necessary for the relevant purpose, subject to provider rules and applicable law.

6. Disputes, Refunds & Chargebacks

Digital products can be delivered or accessed immediately, but this does not remove any mandatory consumer rights or statutory cancellation, refund, or remedy rights that apply in a buyer's jurisdiction. Any “all sales final” notice is subject to those rights. Where permitted by law, a buyer may request help if a product was not delivered, is materially different from its description, is corrupted, or cannot reasonably be used as represented.

Buyers should contact Solvvero through the support channel published on the Platform and provide the order reference and relevant evidence. Solvvero may request information from the buyer, seller, payment provider, or other relevant parties and may determine a platform remedy under its policies, without limiting rights available under law. Remedies may include re-delivery, replacement, partial or full refund, cancellation, or account action where appropriate.

Sellers must respond promptly to reasonable support requests and retain evidence of product descriptions, licences, delivery, and support. Refunds, payment reversals, chargebacks, and related provider fees may be charged against the relevant seller proceeds or future balance where permitted by law and the applicable provider rules. Solvvero may restrict payouts or access while a genuine dispute or suspected fraud is investigated. Nothing in these Terms removes a user's right to contact their card issuer, payment provider, regulator, or court.

7. Content, Intellectual Property & Licence

Sellers retain ownership of intellectual property they own in their products. By uploading or listing content, sellers grant Solvvero a non-exclusive, worldwide, royalty-free licence for the duration the content is hosted and for a reasonable period afterward as needed to operate, display, promote, deliver, secure, back up, and support the Platform and the relevant listing or transaction. This licence includes using listing titles, previews, thumbnails, and product descriptions to market the listing on the Platform. Sellers confirm they have the rights needed to grant this licence.

Buyers receive only the licence or usage rights stated in the product listing or accompanying licence. Unless expressly permitted by the seller's licence or applicable law, buying a product does not transfer copyright or ownership and does not authorise reselling, redistribution, public sharing, sublicensing, or removing rights notices.

If you believe content on Solvvero infringes your intellectual property or other legal rights, contact Solvvero using the official contact details published on the Platform. Include your contact details, identification of the work and allegedly infringing material, its location, a description of the basis for your claim, and any declaration or supporting documents reasonably required by law. We may remove or restrict access to reported content, notify the affected user, and take appropriate action. Knowingly submitting false or misleading claims may have legal consequences.

8. Prohibited Products & Conduct

You may not use Solvvero to list, distribute, request, or promote content or services that are unlawful, fraudulent, deceptive, harmful, or that violate another person's rights. Prohibited activity includes malware, credential theft, phishing, unauthorised access tools, stolen or pirated content, counterfeit material, scams, malicious code, unlawful surveillance tools, hate or exploitative content prohibited by law, products that facilitate illegal activity, and content that infringes copyright, trademark, privacy, publicity, or other rights.

You must not manipulate reviews, fake purchases, evade fees, interfere with platform security, scrape or harvest data without authorisation, reverse engineer or disrupt services except where law prohibits such restriction, upload malicious files, abuse refunds or chargebacks, or use the Platform to violate payment-provider rules or applicable law. We may investigate reports and take proportionate action, including removing listings, restricting features, suspending payouts, or suspending or terminating accounts, subject to applicable law and any required notice or appeal process.

9. Disclaimers & Limitation of Liability

To the maximum extent permitted by applicable law, Solvvero provides the Platform on an “as available” basis and does not guarantee uninterrupted access, error-free operation, universal compatibility, or that every listing, seller, buyer, file, or user statement is accurate, lawful, safe, or reliable. We may update, maintain, suspend, or change Platform features for operational, security, legal, or business reasons.

Solvvero is a marketplace intermediary and does not automatically endorse, create, independently verify, or guarantee every seller product. Sellers remain responsible for their products and buyer support. However, this clause does not exclude any duty or liability that applicable law places on Solvvero, including any non-excludable consumer, privacy, payment, or platform obligations.

To the maximum extent permitted by law, Solvvero will not be liable for indirect, incidental, special, consequential, exemplary, or punitive loss, or loss of profits, revenue, data, goodwill, or business opportunity arising from use of the Platform. To the maximum extent permitted by law, Solvvero's total liability for claims arising from the Platform will be limited to the amount the user paid directly to Solvvero for the relevant Platform service during the three months before the event giving rise to the claim. These limitations do not apply where prohibited by law, or to liability that cannot legally be limited, including applicable liability for fraud, wilful misconduct, death or personal injury caused by negligence, or mandatory consumer rights.

You agree to use the Platform lawfully and not to misuse it. Where permitted by law, you agree to be responsible for reasonable third-party claims, losses, and costs arising from your unlawful conduct, your products, your breach of these Terms, or your infringement of another person's rights. This does not apply to the extent a claim was caused by Solvvero's own unlawful conduct or where such allocation is prohibited by law.

10. Privacy & Data

Solvvero handles personal information in accordance with its published Privacy Policy and applicable data-protection law. We may use and share relevant information with payment providers, hosting providers, fraud-prevention services, support providers, and authorities where necessary to provide the service, process transactions, protect users, comply with law, or resolve disputes. Do not upload personal or confidential information unless you have a lawful basis and authority to do so. The Privacy Policy should explain the categories of information collected, purposes, legal bases where required, retention, international transfers, user rights, and contact details for privacy requests.

11. Suspension & Termination

You may stop using Solvvero and close your account through the available account settings or by contacting support. You remain responsible for transactions, refunds, chargebacks, taxes, and obligations that arose before closure. We may remove content, limit features, suspend or terminate accounts, or restrict transactions when reasonably necessary due to a breach of these Terms, credible fraud or security concerns, legal obligations, payment-provider requirements, risks to users, or prolonged inactivity, subject to applicable law.

Where appropriate and legally permitted, we will provide notice and an opportunity to address the issue or appeal. We may act without advance notice where necessary to prevent harm, preserve evidence, comply with law, or protect the Platform. Sections that by their nature should survive account closure—including accrued payment obligations, intellectual property licences already needed for completed transactions, dispute provisions, disclaimers, liability limits, and lawful indemnity obligations—will survive to the extent permitted by law.

12. Complaints, Changes & Governing Law

For questions, complaints, suspected infringement, payment concerns, or legal notices, use the official support or legal contact details published on the Platform. Solvvero may update these Terms to reflect changes in its service, fees, security, or legal obligations. We will post the revised version and update the effective date; where law requires, we will give additional notice or obtain renewed consent. Changes will apply prospectively unless otherwise required or permitted by law.

These Terms are governed by the laws of the jurisdiction in which Solvvero's operating legal entity is registered, except where mandatory consumer-protection or other laws require a different result. Any dispute will be handled by the competent courts or dispute-resolution process under applicable law. Before publishing, insert the correct legal entity name, registered address, governing jurisdiction, and legal contact details. Nothing in these Terms limits mandatory rights to bring a claim in a consumer's local courts or to use a legally required complaint or dispute-resolution process.
